Template License Terms

These Template License Terms (the “Terms”) govern the use of document templates, forms, policies, and related materials (the “Templates”) made available through the HR Elevated Templates subscription service (the “Service”) operated by HR Elevated LLC, a Michigan limited liability company (“HR Elevated,” “we,” or “us”).

By subscribing to the Service or downloading any Template, you agree to these Terms.

1. License Grant

a. Subject to these Terms and payment of applicable subscription fees, HR Elevated grants the subscribing organization (the “Subscriber”) a limited, non-exclusive, non-transferable license to download, customize, and use the Templates for the Subscriber’s own internal business purposes.

b. The license covers a single organization. Employees, owners, and authorized representatives of the Subscriber may use the Templates on the Subscriber’s behalf.

c. Consultants, HR professionals, and other service providers who wish to use the Templates in work performed for their own clients require a separate professional license. Contact HR Elevated to discuss professional licensing.

2. Permitted Uses

The Subscriber may:

a. Download Templates available under the Subscriber’s active plan tier.

b. Customize Templates with the Subscriber’s name, branding, policies, and other organization-specific content.

c. Distribute customized Templates internally, including to employees, applicants, and contractors of the Subscriber in the ordinary course of business (for example, providing an offer letter to a candidate or a policy to an employee).

d. Retain and continue using Templates downloaded during an active subscription after the subscription ends, subject to these Terms.

3. Prohibited Uses

The Subscriber may not:

a. Resell, sublicense, distribute, publish, or otherwise make the Templates available to any third party, whether in original or customized form, except as permitted in Section 2(c).

b. Share login credentials or downloaded Template files with other organizations, including affiliates, franchisees, or clients, each of which requires its own subscription.

c. Use the Templates to create a competing template library, product, or service.

d. Remove, alter, or obscure any notice included within a Template, other than placeholder text intended for customization.

e. Represent the Templates as the Subscriber’s own original work product for commercial resale purposes.

4. Not Legal or HR Advice

a. The Templates are informational starting points and are provided for general use. They do not constitute legal advice, HR advice, or a consulting engagement, and no consultant-client or attorney-client relationship is created by subscribing to the Service or using the Templates.

b. Employment laws vary by jurisdiction, industry, and organization size, and they change over time. The Subscriber is responsible for ensuring that any Template, as customized and used, complies with the laws applicable to the Subscriber’s specific circumstances.

c. HR Elevated recommends that Subscribers have significant documents reviewed by qualified counsel or an HR professional familiar with the Subscriber’s situation. Customized review is available through HR Elevated consulting engagements, which are separate from the Service.

5. Updates and Library Changes

a. HR Elevated updates the Template library from time to time, including in response to changes in law. Updates are made available through the Service to Subscribers at the applicable plan tier.

b. HR Elevated does not undertake to notify Subscribers individually of legal changes affecting previously downloaded Templates, and previously downloaded copies are not updated automatically. Subscribers are encouraged to download current versions before use.

c. HR Elevated may add, revise, reorganize, or retire Templates at its discretion. Plan tier contents described at the time of subscription are subject to reasonable change.

6. Subscriptions, Billing, and Cancellation

a. Subscriptions bill on a recurring monthly or annual basis through the payment method on file until cancelled.

b. The Subscriber may cancel at any time through the account dashboard. Cancellation stops future billing, and access continues through the end of the current paid period.

c. Except where required by law, subscription fees are non-refundable once a billing period has begun, given the downloadable nature of the product.

7. Intellectual Property

a. The Templates, the Service, and all associated content are the intellectual property of HR Elevated LLC and are protected by copyright and other laws.

b. Customizations the Subscriber adds to a Template belong to the Subscriber. The underlying Template remains the property of HR Elevated.

8. Disclaimer of Warranties

The Service and the Templates are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HR Elevated does not warrant that any Template is suitable for the Subscriber’s specific circumstances or compliant with the laws of any particular jurisdiction as applied to the Subscriber.

9. Limitation of Liability

To the maximum extent permitted by law, HR Elevated’s total liability arising out of or relating to the Service or the Templates will not exceed the amounts paid by the Subscriber for the Service in the twelve months preceding the claim. HR Elevated will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, arising from use of the Service or the Templates.

10. Termination for Breach

HR Elevated may suspend or terminate a subscription, without refund, for material breach of these Terms, including unauthorized sharing or resale of Templates.

11. General

a. These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

b. Any dispute arising under these Terms will be resolved in the state or federal courts located in Michigan, and the parties consent to jurisdiction and venue there.

c. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

d. HR Elevated may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
